Welcome to Prosper. These Terms of Service ("Terms") govern your use of our mobile application, website (www.prosper.love), and all related services (collectively, the "Service"). The Service is owned and operated by Helpful LLC, a North Carolina limited liability company ("we," "us," or "our"). By using the Service, you agree to these Terms.


1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or guardian. The Service is not intended for children under 13.


2. User Accounts

To access certain features, you must create an account using a supported authentication method, such as an email/password combination, Apple Sign In, or any other login option we may provide. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account.

Users are solely responsible for the information they provide when creating an account, including their chosen username. We do not verify the identity of users and cannot guarantee that any username or profile accurately represents a real individual or organization.

Impersonation of others, including public figures, organizations, or other users, is prohibited.

We may, at our sole discretion, grant “official” or verified account status to individuals or entities who can reliably confirm their identity, but we are under no obligation to do so.


3. Subscriptions and Payments

The Service offers both free and premium (paid) subscriptions, which may include monthly, yearly, lifetime, or other durations as made available from time to time. All subscriptions automatically renew unless cancelled. Subscriptions purchased via:

  • iOS: Must be managed and cancelled through your Apple ID account settings. Apple handles all refunds.

  • Website: Can be cancelled via your account settings on www.prosper.love. Refunds are not provided for partial periods unless required by law.

We reserve the right to adjust pricing or subscription offerings at any time, with reasonable notice.


4. User Content

You retain the copyright in any original content you create within the Service ("User Content"). However, by marking content as "public," you grant us and other users a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, display, distribute, and create derivative works from that content within the Service.

Please note: if other users have adopted or integrated your public content into their own use of the Service, you may no longer be able to delete or remove that content. You may, however, choose to mark the content as "anonymous," which removes your username and account association from the content moving forward.

If your public content is used for marketing or promotional purposes, your username may be displayed alongside it unless you designated that specific content as "anonymous" prior to the creation of such marketing or promotional material. Users have the option to mark public content as anonymous, in which case their username will not be shown within the app or in external promotional uses, provided the anonymity was set before the content was used in that context.

By submitting any content, you confirm that you have all necessary rights to do so and that your content does not infringe the rights of any third party.

You also agree not to use the Service to generate excessive or disruptive volumes of content, queries, or requests that may overload, degrade, or interfere with the proper functioning of our systems or services. We reserve the right to apply rate limits or suspend accounts engaging in such behavior.


5. Community Guidelines

You agree that you will not post, share, or create any content within the Service that:

a) Expresses or implies an intention to cause harm to yourself, others, any living beings, or the property of others;

b) Contains hate speech, threats, derogatory remarks, or discriminatory content targeting individuals or groups based on race, gender, religion, nationality, sexual orientation, disability, or species;

c) Attempts to exert control over the free will of others, or expresses intent to manipulate or dominate others — including through spiritual or energetic language.

You may express intentions for the wellbeing or benefit of others, provided that:

  • The content can reasonably be interpreted as positive, respectful, and non-coercive,

  • It reflects intentions you would also apply to yourself or welcome being applied to you, and

  • It aligns with outcomes the other individual or group would likely want for themselves.

We reserve the right to remove content, restrict access to features, or suspend or terminate accounts that violate these guidelines, without prior notice.

6. Intellectual Property

All materials provided through the Service (excluding User Content) are owned by us or our licensors and protected by intellectual property laws. You may not copy, distribute, or create derivative works without our permission.

7. License and Use Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial use in accordance with these Terms. You may not:

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Use the Service for any commercial purpose without our written consent

  • Use automated scripts or tools to access or interact with the Service

  • Circumvent or disable any security or access control features

  • Flood or spam the system with content or requests that may overload or impair the Service

8. AI and Automated Services

Some features of the Service, including the chatbot and content moderation, may be powered by artificial intelligence. You acknowledge that:

  • AI-generated content is not a substitute for professional advice (medical, legal, psychological, or otherwise)

  • The information provided by AI tools is for general reflection and wellbeing purposes only

  • You should not rely on AI features for emergency, diagnostic, or decision-making support

We are not liable for outcomes based on AI responses or interactions.

9. Third-Party Services

The Service may integrate with or rely on third-party services, including but not limited to OpenAI, Mixpanel, RevenueCat, and Apple. We are not responsible for the practices, content, or reliability of any third-party service or provider. Use of third-party services is subject to their respective terms and privacy policies.

10. DMCA and Copyright Complaints

If you believe your copyrighted work has been used in a way that constitutes infringement, you may file a notice under the Digital Millennium Copyright Act (DMCA). Please contact us at support@prosper.love with all relevant details.

11. Indemnification

You agree to indemnify, defend, and hold harmless Helpful LLC and its affiliates, officers, and employees from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of your misuse of the Service, violation of these Terms, or infringement of any rights of a third party.

12. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be error-free or uninterrupted. We are not responsible for any decisions you make based on content in the app, including AI-generated responses.

The Service is not a medical device and does not provide medical, mental health, or legal advice. Any wellbeing-related content is for informational and personal reflection purposes only. Always seek professional guidance where appropriate.

13. Limitation of Liability

To the fullest extent permitted by law, we disclaim all liability for indirect, incidental, or consequential damages. Our total liability to you shall not exceed the greater of $50 or the total amount paid by you in the past 12 months.

14. Dispute Resolution

You agree to resolve any disputes with us through binding arbitration in accordance with the AAA Consumer Arbitration Rules. You waive the right to participate in class actions. The Terms are governed by the laws of the State of North Carolina.

15. Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or governmental actions.

16. Export Control

You may not use or access the Service if you are located in a jurisdiction subject to U.S. government sanctions. You agree to comply with all applicable export control laws.

17. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your license to use the Service ends immediately. We may delete your data and User Content, except as required by law.

18. Beta Features and Experimental Tools

Some features of the Service may be offered in beta, on a trial basis, or as experimental. These features may change, be removed, or break without notice. We do not guarantee the availability, performance, or reliability of beta or experimental features and disclaim all liability arising from their use.

19. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes. Continued use of the Service after changes constitutes acceptance.

20. Feedback and Suggestions

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate them into our services without compensation to you. We are under no obligation to review or implement any feedback.

21. Data Retention and Deletion

We reserve the right to retain or delete user data and content in accordance with our data retention practices and applicable law. We are not obligated to retain data after account closure, except where required by law or regulation.

22. Assignment

We may assign or transfer our rights and obligations under these Terms to another entity in the event of a merger, acquisition, or sale of assets. You may not assign your rights under these Terms without our prior written consent.

23. Survival

Any provisions of these Terms that by their nature should survive termination—such as intellectual property rights, disclaimers, limitations of liability, dispute resolution, and indemnification—shall remain in effect even after your account is terminated or you stop using the Service.

24. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be interpreted to accomplish its intent to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

25. Translation Interpretation

These Terms may be translated into other languages. In the event of a conflict or dispute, the original English version shall prevail.
